Introduction
These Terms and Conditions ("Agreement") govern the provision of consulting services ("Services") by SJM Economics ("Consultant") to its clients ("Client"). By engaging our Services, the Client agrees to be bound by this Agreement. If the Client does not agree with these terms, the Client should not engage the Consultant’s services.
Scope of Services
The Consultant will provide economic, financial planning, investment management, and business growth advisory services as outlined in the Client's service agreement or project proposal. Any additional services requested will require separate agreements or amendments to the current contract.
The consulting service includes:
· One (1) meeting per month, with an average duration of up to two (2) hours.
· Date and time to be mutually agreed during the previous month.
· Telephone contact to address specific questions, always scheduled in advance.
· Delivery of news or information deemed relevant by the Consultant, without a fixed frequency obligation.
Fees and Payments
Fees for the Consultant’s services will be outlined in the proposal or service agreement. Payments are due upon receipt of the invoice unless otherwise specified. The Consultant reserves the right to suspend services until full payment is made.
Services are provided on a monthly basis.
Confidentiality
The Consultant agrees to keep all confidential information disclosed by the Client private and not to disclose such information to third parties without the Client's written consent, except where required by law. This includes any financial, personal, or proprietary information shared during the consulting engagement.
All information, opinions, analysis, and content shared by the Consultant are strictly confidential.
The Client agrees not to:

Disclose, reproduce, publish, or share such information.

Identify or cite the Consultant as a source.
This obligation survives termination.
Client Responsabilities
The Client agrees to provide accurate and complete information necessary for the Consultant to perform the services. The Client understands that failure to provide timely and accurate information may affect the quality and outcome of the services provided.
No Recording Policy
The Client is strictly prohibited from recording any meetings, calls, or communications without the Consultant’s prior written consent.
Information disclaimer
All opinions expressed are solely professional opinions. They do not constitute legal, financial, investment, or business advice.
Any action taken by the Client based on such information is at the Client’s sole risk.
The Consultant shall not be liable for any consequences arising from the use of such information.
Information is obtained from public sources considered reliable. However:
· No warranty is made as to accuracy or completeness.
· The Consultant assumes no responsibility for errors or omissions.
Limitation of Liability
The Consultant will provide advice and recommendations based on expertise and best practices. However, the Consultant shall not be held liable for any financial losses, damages, or negative outcomes resulting from the implementation of this advice. The Client assumes full responsibility for all decisions and actions taken based on the Consultant’s recommendations.
To the fullest extent permitted by law:
· The Consultant shall not be liable for any damages of any kind.
· The Client expressly waives any claims related to the services or information provided.
Termination
Either party may terminate this Agreement by providing 10 days' written notice. Upon termination, the Client will be responsible for payment of all services rendered up to the date of termination. The Consultant reserves the right to terminate the Agreement immediately in cases of non-payment or breach of contract by the Client.
Intellectual Property
Any reports, analyses, or documents created by the Consultant in the course of providing the services are the intellectual property of the Consultant until all fees have been paid. After payment, the Client may use the deliverables for their own business purposes but may not sell or redistribute them without permission.
Amendments
The Consultant reserves the right to modify these Terms and Conditions at any time. Clients will be notified of any significant changes, and continued use of the Consultant’s services constitutes acceptance of the new terms.
Entire Agreement
This Agreement constitutes the entire understanding between the Consultant and the Client regarding the Services and supersedes all prior discussions, agreements, or understandings of any kind.
These terms and Conditions govern the ongoing professional relationship between the parties and apply to all services provided, regardless of the date on which such relationship began.
These terms also constitute a formal update of the existing working framework.
Independent Relationship
Nothing herein creates any partnership, employment, agency, or joint venture relationship.
Dispute Resolution
In the event of any disputes arising under this Agreement, both parties agree to first attempt mediation before pursuing litigation.
By engaging in our Services, the Client acknowledges that they have read, understood, and agree to these Terms and Conditions.
